Ezra got good fundamental, good project win and has great potential. ( can reserach more before u buy). The problem with Ezra is, it  goes up a little and drops a little, then goes up a bit more and drops a little. It really take time and patient to wait for it to pass 1.2 ...

I got in at 1.15 ... I still think at present 1.075 is well support.

I do think and guess early 2013 it will cheong more eagerly up!  Maybe when the US side gives  good news, it will rise quickly .. Hope for the best.

If the takeover is not successful, F & N price will dip gradually unless OUE is able to come forward quickly to make a counter offer.  Still no news from OUE?  Just talk and no action.

SINGAPORE : On the Singapore Exchange, shares of Fraser & Neave (F& N) closed higher on Tuesday at S$9.09.

This is 2.4 percent higher than the offer price of S$8.88 per share that TCC Assets is offering for the rest of F& N.

TCC Assets is a special purpose vehicle linked to Thai tycoon, Charoen Sirivadhanabhakdi.

Analysts say this is an indication that F& N shareholders are likely to reject TCC's current offer on 8th November.

The S$8.7 billion (US$7.2 billion) takeover bid for F& N Group by TCC assets is likely to fall through.

The billionaire Mr Charoen, through his entities TCC and Thai Beverage, currently own a combined 35.68 percent stake in F& N.

F& N shareholders were given a ten-day extension (from 29th October to 8th November) to consider TCC's offer price - which has not budged from the original S$8.88.

TCC's offer values F& N at over S$10 billion.

The extension came following Singapore-listed Overseas Union Enterprises', a company controlled by Indonesia's Lippo Group, expressing interest to buy over F& N.

OUE had previously made a S$1.4 billion bid for F& N's hospitality and serviced residences division.

F& N was not able to act on that bid as it was the target of a takeover but no offer has materialised from OUE so far.

Liu Jinshu, Lead Analyst, SIAS Research, said: " Does OUE have the resources to execute a competing offer or whether they're still in the foray? Considering their market cap and the price tag of F& N, I think we got to look at OUE's interest in F& N. If it's just property, they may just sit down and discuss with TCC how to split the assets rather than engage in a competitive bidding war."

Some analysts say given OUE's market capitalisation of S$2.3 billion, it would require the help of partners such as Kirin Holdings, which owns a 15 percent stake in F& N, or even Coca-Cola to launch a takeover bid for F& N.

Analysts say for a successful counter-offer, the bid should come in at the high end of the estimated valuation of between S$8.30 and S$11.22.

In a circular to shareholders on 10th October 2012, F& N's board also said the offer price of S$8.88 a share is at the low end of an estimated valuation of between S$8.30 and S$11.22.

Yet some others say F& N shareholders have a strong incentive to consider the TCC bid.

Xavier Jean, Analyst, Standard & Poor's, said: " F& N Shareholders have a strong incentive to consider the TCC bid because there are some complexities for another party to bid for F& N. TCC has first-mover advantage. They've already positioned themselves, they've already put their name on the market. Any new bidder would have to provide a significantly higher price both to TCC and to the other shareholders which would make it more expensive and more difficult."

But given that F& N 's financial advisors JP Morgan Chase had previously described TCC's offer as " fair but not compelling" , market watchers say the F& N board might even decide to auction off the various assets separately to extract most value.

In a statement to shareholders on 10th October 2012, F& N directors who are also shareholders said they intend not to accept the takeover offer at S$8.88 per share, unless the F& N offer turns unconditional when the offeror secures acceptances which bring its shareholdings to more than 50 percent of F& N's total issued capital.

In the run-up to the F& N shareholders meeting on 8th November, analysts are not ruling out the possibility of a counter-bid from another party.

But if F& N shareholders were to reject TCC's offer of S$8.88 per share, experts say the takeover premium would be reduced if the likelihood of a future bid disappears.

Something unpleasant happened makes me gambler like a mad, i had bad losses for contra. I still  couldn't  cover the loss back with gain, suddenly i felt helpless and idealess on how i m going to gain back. I am not going to aim for long term investment at this moment until i get my trouble resolved. But i had been trade with emotion which is very  terribly  wrong. Its kinda too late for me to say that where i've paid so costly for the lesson. I am still in the mid of learning..sad to say that i dont have any mentor, but i do have some forum dudes here giving me some idea and  advice  which are helpful too. I am trying my best to understand more about trading.

okay, back to triyards, it hit almost bottom price on friday, which i think it is no harm to load some however i dont have the guts > < because the market trend mow is unpredictable, i have no idea if it may go lower than that or what. and one thg, i dont know how to read chart.. dudes here actually advised, chart somehow may help in tracing.

Talking about high speed train.... Singapore is like a train travelling at very high speed, but the railway track is not ready to cover the distance..... We are reaching that end track.... OUE is unlikely to raise   sufficient funds to bid for a very much higher price tham 8.88.  It is safer now to take profit rather than wait for it to slide downward.  If OUE is able to bid at a compelling price, it would have done so long time ago.  Just my thought

Just capital raising. They are still short by alot and will likely have to partner with Kirin/Lippo group/others. This might be part of the reason why they are taking so long.

By extending the offer deadline and not increasing the bid price, TCC is trying to say to OUE that I dont believe you.

Unless OUE makes an offer higher than 8.88 before 6 Nov, this stock is likely to drop to around 8.88 or below

It is possible, but they have to increase the new offer to others as well. Extracted from the circular to shareholders:

2.11 Purchases Outside of the F&N Offer. Section 2.10 of the Offer Document states that subject to the requirements under the laws of Singapore, the Offeror and its affiliates may purchase or make arrangements to purchase Offer Shares outside of the F&N Offer, such as in open market transactions or privately negotiated purchases (“Outside Purchases”), provided that (a) such Outside Purchases will not be made, and may not be accepted by, any Overseas Shareholders resident or domiciled in the United States of America and (b) the Offer Price is increased to match any consideration paid in any such purchase or arrangement that is greater. To the extent information about any Outside Purchases is made publicly available in Singapore, such information will be made publicly available to Overseas Shareholders resident or domiciled in the United States of America on the website of the SGX-ST at www.sgx.com.

SK888 - you are absolutely right.  F & N shares will drop below 8.88 and I think OUE comes in just as a ploy to ask for higher bid from Th Bev.

If Kirin collaborate with ThBev, the offer will become unconditional and F & N will be done at 8.88

Still no news from OUE and F & N should be dropping further.

Contrary to your thoughts, I think F&N price will drop if thaibev managed to gather 50% of the shares as the offer becomes unconditional. They need not get the whole of 100% of all shares, so whoever is holding to f&n above $8.88 will make a loss.

F&n directors who are shareholders also mentioned they will not sell their shares unless the offer turns unconditional. That is, once 50% is hit, more shareholding will come in for thaibev.

assuming if F& N hits 8.88 and ThBev managed to successfully acquire 50% of it, i believe F& N shares will go up from $8.88.

So F& N shareholders are actually hoping ThBev will take over so they can profit from the rise. So they are keeping their shares.

  The only group of people left who will give up their shares are those who believe that a takeover will not happen and afraid their share price will drop after 8th Nov if acquire nt successful.

 

Lets see if they form the 15% :)

3Q result first. Midas project is already sufficient to hit 50cents and above. High speed train project is a bonus to hit 60cents.

Now, Midas must make profit in 3Q to convince investors and show the strong recovery in her train delivery and profit margin

Hotel Windsor is a mix of retail/hotel space with first 9 storey comprising of a retail podium and 225 hotel rooms on the upper floor levels with a total GFA of about 156,638 sqft. In our model we are conservatively valuing the asset at S$64m which accounts to ~3% of its RNAV(S$1.9b) and 4% of its book value(S$1.7b). Media sources has reported the selling prices of about S$163m, which if goes through will result in an accretion of 14 S cents or a 5% accretion to our current RNAV of S$2.67/share. We don't expect any special dividends from the sale(despite low gearing of 0.26x) considering volatile macro environment and expect funds to be pumped back into acquisition of Singapore commercial or overseas properties(mainly China).
