Leroi made a loss last year. Disposed its property and apparel business. Acquired 51% Skywalker Resources - an investment holding company. So it is also in need of a white knight - win-win

Abterra was valued slightly lower than the HK firm. Abterra issued less shares valued at 12.3 cents whereas the HK firm issued more shares valued at 8.1 cents (after exchange rate conversion). Only own 5% of each other.

  1. Will swap 255 million shares at SGD 12.3 cents in exchange for 385 million of LeRoi Holdings at HKD 43.5 cents
  2. Will explore investment opportunities together in the coking coal, coke and iron ore mining industry

    3. Singapore and Hong Kong, 11 June 2009

    Abterra will conditionally agreed to subscribe for 385 million new shares, representing 5% of the entire issued share capital of LeRoi at HKD 43.5 cents and LeRoi has conditionally agreed to subscribe for 255 million new shares, representing 5% of the entire issued share capital in Abterra. Abterra’s share price closed at SGD 6.5 cents on 10 June 2009.

    The consideration of approximately HK$ 140 million was arrived at arm’s length negotiations between both parties with reference to the 10-day average closing price of the Share, the audited consolidated net asset value of LeRoi as at 31 December 2008 of approximately HK$ 639 million, the historical financial results of Abterra and LeRoi, and the current businesses and developments of both companies.

    "We are pleased to enter into this share-swap agreement with LeRoi Holdings. This collaboration allows both parties to leverage on our networks in the coal and iron ore mining industry.         just cx the sgx ann. Leroi going to do a share swap with abttera. leroi is list in HK . do food bussiness. share swap value abttera at a wopping 12.34cts. WOW!!!!! if the duel go tru means this share shoot sky high. it seem that the halt in trading may have somethinh to do with this ..........do keep us  in form......mean while can collect ...again on monday. not calling a buy. pse do your own reseach.

        Only 30 lots of Equation at 0.105. Kept wanting to buy at 0.075 these 2 days but held back. Then just now did not see for half an hour and it shot up to 0.09.

        Now still vested in Abterra at 0.055 100 lots.
