2.11 Whitewash Waiver.

As the YuuZoo Shareholders will own more than 85% of the enlarged voting share capital of the Company upon Completion, the YuuZoo Shareholders and their concert parties will be required, under Rule 14 of the Code, to make a general offer for the remaining shares of the Company not owned or controlled by the YuuZoo Shareholders and their concert parties at the highest price paid or agreed to be paid by any of them for the shares in the preceding 6 months. It is a Condition Precedent that the SIC grants the YuuZoo Shareholders and their concert parties, and does not revoke any such grant, a waiver of their obligation to make a general offer under Rule 14 of the Code for all the Shares not owned or controlled by them, and that the Shareholders approve a resolution for the waiver of their right to receive such a mandatory offer from the YuuZoo Shareholders and their concert parties at the EGM.
