Wish SGX will ask more challenging questions including why they highlighted that their YoY growth would have been 199% under normal operation and does that mean those exceptional items will not be repeated ? Why stated 70% margin if exclude construction activities and if construction activities will continue to be a significant contributor. How much of those were the result of the acquisition of its subcontractor Tongyong and its performance vis a vis what was indicated in the acquition agreement. Such statements are part of responsible reporting and should be grilled and if Hankore mgmt should clarify such statements and their impact on any forecast. Hankore made the announcement to engage Bank of America - Merrill Lynch to study strategic options available in the lights of 3rd parties expression of interest. While it is highly unlikely that Hankore is interested to sell now but instead may even acquire more assets as disclosed in its forecast in the FY13 announcement and the fund raising exercise, I feel that as the announcement is material and significant, SGX should query the validity of the earlier announcement and if it is still valid for shareholders consideration. They even advised shareholders to refrain from trading and to consult their brokers ! Company?s Response Details of any collaterals The loans are secured by:- 1) Pledging of assets of certain wastewater treatment plants to the relevant financial institution. 2) Guarantees from a former subsidiary, subsidiaries and a third party. Query 2 Based on the cash flows from financing activities, we note that the Group recorded proceeds amounting to S$786,000 from the exercise of warrants in FY2013. Please advise whether the Company has previously announced the use of proceeds. Details of the exercise of the CB warrants during FY2013 are as follows:- Date of exercise of CB warrants Number of CB warrants exercised at exercise price of S$0.025 each Amount (S$) 18 February 2013 5,906,070 147,652 25 April 2013 354,460 8,861 Total: 6,260,530 156,513 As set out above, such CB warrants were exercised over a period of time and the amounts generated from the exercise of such CB warrants were not substantial. Such Net Proceeds were disbursed gradually over the course of time for the Company?s working capital purposes, including payment of salaries and payment of professional fees incurred from time to time. The use of the Net Proceeds as stated above is in accordance with the intended use of proceeds from the exercise of the CB warrants as disclosed in the Company?s circular to shareholders dated 7 December 2009.
