Wu Sheng is a company incorporated in the People?s Republic of China (the ?PRC?) and is
principally engaged in the business of the development, manufacture and distribution of
point of sale (?POS?) systems with a particular focus on the PRC lottery market.

Pursuant to the Term Sheet, it is proposed that the consideration for the Proposed
Acquisition will be in the range of S$66.3 million to S$93.9 million. The actual amount of
consideration will be agreed between the Company and Firich in a final, binding sale and
purchase agreement for the Proposed Acquisition (the ?Formal Agreement?). Such
consideration amount will be satisfied by allotting and issuing to the Vendor such number of
new shares of the Company (?Shares?) at S$0.609 per new Share, such price being a 5%
discount to the 5-days? weighted average price of Shares trading on the Singapore
Exchange Securities Trading Limited (?SGX-ST?) from 25 June 2007 to 29 June 2007.
Based on the enlarged issued share capital of the Company subsequent to the completion of
the issue of consideration Shares pursuant to the proposed acquisition of PAL Development
Limited from Bright Ally Investments Limited (?Enlarged Capital?), Firich shall hold
approximately 15% to 20% of the Enlarged Capital upon completion of the Proposed
Acquisition.
