x 0   x 0  Alert Admin	To me, there is no 'upside' news until they resolve the PacNet deadlock. Then again, even if they do secure control of PacNet, it is left to be seen how profitable VOIP will be. Currently, I think SKYPE is in a dominant position. I would prefer to assess this stock upon news of further development.

Vantage Corp gets green light to sell or buy more stakes in PacNet By Jeana Wong, Channel NewsAsia | Posted: 26 December 2006 2228 hrs SINGAPORE : Vantage Corp has received approval from shareholders to decide on whether to sell its existing stake in internet service provider Pacific Internet or to buy more shares. The company, which has been caught in a battle for control over PacNet, is now mulling its options. Failure by Vantage to have a core business will lead to its delisting from the SGX. Vantage Corp shareholders agreed on Tuesday to let the company either buy more shares in Nasdaq-listed PacNet or sell its existing stake at no less than US$9.50 a share. The company is currently PacNet's second largest shareholder with a 28.3% stake. But it has been caught in a battle for control over PacNet after MediaRing bought up more than 29% stake in PacNet. Vantage is now weighing its options. It can try to get a controlling stake in PacNet or pull out altogether. Some 30 minority shareholders turned up to vote on Tuesday, although their say may not carry much weight. Some were resigned to the lack of clarity in Vantage's vision going forward. It is clear that the voting can be seen as a formality because Mr Kea Kah Kim holds the lion's share of Vantage Corp shares with a 77.5% stake in the company. But minority shareholders said the process could still have been handled better. They added that at the time of voting in this room just moments ago, they did not fully understand the mechanics or implications of both resolutions. And they said the open-ended resolution on PacNet shares also essentially left the decision up to Vantage management. Shares in Vantage have been suspended from trade since 2004 when it sold its core publishing business. A second, separate resolution which directs the company's board to distribute cash to shareholders in case Vantage fails to have its trading suspension lifted was defeated. Some minority shareholders said they would like to see some cash. "So the best thing is to sell and get the money and distribute it" said Heng Yiam Hwee, a minority shareholder. Vantage has until end of May next year to find a new core business or be delisted. Its half year results ending in September show that the company's cash and cash equivalents totalled some S$19.5 million, down from S$50.8 million a year ago. - CNA /ls
