Takeover by US company?

It said the takeover offer by Sungard Asia Pacific Inc to buy all of its issued ordinary shares at $0.36 has been extended to Oct 2. As of Sep 8, Sungard had received valid acceptances for 297.11m shares, representing 92.91% of the issued and paid-up share capital of System Access as of Aug 14 and 88.98% of the maximum potential issued share capital of the company when the options are exercised. The options proposal has also been accepted by all optionholders in respect of all outstanding options, System Access said in a statement. Previously, SunGard said it intends to make System Access a wholly-owned unit and delist it from SGX. |

zhuge_liang - I would like to thank you sincerely for starting this thread. The 'speculation' you mentioned has now become a 'reality'. After reading your reply to my questions on Thursday, 20/7, I decided to pick up 20 lots for a start on Friday, 21/7. On Monday, System Access suddenly called for a 'trading halt' and I have no chance to see how the counter will behave. Nevertheless, 20 lots is enough to give me a handsome profit. For your information, this is the second time I have benefited from your hints on M & A. The previous one was several years ago in Shareinvestor's forum. If I reemeber correctly, it was a shipping company named, Min Hua. I believe you must be New York in Shareinvestor's forum, am I right? You are certainly not selfish to help forumers to benefit from the wealthy company's acquisition. By the way, when are you going to China again? Ha, ha, ha! I joined this forum just a month ago and I have been reading your postings. Hope to see more of your postings on M & A. Once again, a big thank you. |

Oh a reiteration of a profit warning before the announcement of takeover. In an earlier profit warning issued on 14/2 after its half year results, the company said that it may not be profitable in the next 6 months. Now it says that it expects to be in a loss position in respect of its financial year ending 30/6/06 due mainly to (i) a fall in revenue from services and licence fees and (ii) a share of losses in one of its associates. |

Matthew8, I don't know what's the fair value. The takeover price is likely to be at a premium to the average traded price over the past few weeks. Speculated takeover price of $1.20 for GES is also at premium. You're read the SGX announcement, so it's quite reliable. However, there's also the chance that the talks could breakdown and the takeover may not take place. Only the management knows the takeover price. Maybe you can contact them. |

Stock King - Are your there? When I spoke with zhuge_liang in STI thread, you helped your Master to reply. zhuge_liang has started this thread by saying that Sys Access is speculated to be taken over by a US company and Mathew8 had asked some pertinent questions. Would you like to help your Master to answer them? If I may ask a further question: At 28.5 (overnight price), is there any 'meat' left should the speculation turns out to be true eventually. Your response will be appreciated. |

Matthew8, the reports I have are pretty old and dated around Dec '05. The price targets are $0.12 and %0.14. However, I refer you to a SGX announcement dated 9/6/06 in response to the increase in trading volume which I reproduce below. "The Company wishes to inform shareholders that it has received certain confidential expressions of interest that may relate to an investment in the Company. The Company is evaluating these expressions of interest. None of these expressions of interest have any legal effect nor do they amount to offers capable of acceptance. The directors of the Company have not approved any transaction. There is no certainty that any proposal, offer or transaction will result from these expressions of interest or discussions pursuant thereto. The Company will make an announcement at the relevant time should circumstances merit such an announcement." "In the meantime, shareholders are advised to refrain from taking any action in respect of their shares in the Company which may be prejudicial to their interests, and to exercise caution when dealing in the shares of the Company." |
