x 0   x 0  Alert Admin	The Board of Directors (“Board”) of Scintronix Corporation Ltd. (“Company”) wishes to announce that its wholly-owned subsidiary, Scintronix Technology Pte. Ltd. (“Scintronix Technology”) has on 6 April 2010 signed a letter of intent (“LOI”) with the Management Committee of Pinghu Economic Development Zone of Zhejiang Province, People’s Republic of China (“Management Committee”) pursuant to which the Company has agreed in principle to incorporate a wholly-owned subsidiary tentatively to be known as “Scintronix Technology (Zhejiang) Co. Ltd.” (“Subsidiary”). The Subsidiary’s principal business would be research and development, manufacturing and sales of electronics products, plastic injection moulds and plastic products and the Board has determined that its initial registered capital would be US$2,000,000. In connection with the incorporation of the Subsidiary, the Company has also, pursuant to the terms of the LOI, initiated negotiations with the Management Committee for its assistance in relation to the purchase of a piece of land measuring approximately 39,000 square meter located in the Pinghu Economic Development Zone (“Land”). The land use rights to the Land may be licensed or assigned through a public bidding for a tenure of 50 years, subject to final survey and the Company being successful at the public bidding. The Company will make further announcement of further details of the incorporation of the Subsidiary and the acquisition of the Land in due course. The LOI represents the intention of the Company with respect of the incorporation of the Subsidiary and the acquisition of the Land, and is subject to formal procedure being taken in the case of the incorporation of the Subsidiary, and a formal agreement being entered into and/or a formal tender being submitted, in the case of the acquisition of the Land, and the Board will make such further announcement as and when significant and new developments arises from the LOI. The Board also wishes to emphasize that the LOI is only a proposal made by the Company with the Management Committee, and is subject to the formalities being entered into, and anyone who wishes to invest in, trade or deal with the securities of the Company should exercise due caution. 2 This announcement is made pursuant to and for the purposes of compliance with Rule 704(15)(c) and Appendix 7.1 Paragraph 8(f) and of the Listing Manual.
