PROPOSED RENOUNCEABLE NON-UNDERWRITTEN RIGHTS ISSUE OF SHARES

NOTICE OF DESPATCH OF CIRCULAR AND CONDITIONAL BOOKS CLOSURE DATE

Unless otherwise defined, all terms and references used herein shall bear the same meaning ascribed to them in the announcement of HG Metal Manufacturing Limited (the "Company") on 25 November 2008 relating to the Rights Issue (as defined therein).

Further to the Company’s announcements on 25 November 2008 and 31 December 2008, the Board of Directors of the Company wishes to announce that the Company has today despatched to the Shareholders, a circular dated 3 January 2009 (the “Circular”) which contains, inter alia, a notice for convening an extraordinary general meeting (the “EGM”), for the purpose of seeking Shareholders’ approval for the Rights Issue. A copy of the Circular is available on the website of the SGX-ST at www.sgx.com.

The EGM will be held on 19 January 2009 at 10.00 a.m. at No. 28 Jalan Buroh, Jurong Town, Singapore 619484.

NOTICE IS HEREBY GIVEN

Entitled Shareholders whose securities accounts with the CDP are credited with Shares as at 5.00 p.m. on the Books Closure Date will be provisionally allotted the Rights Shares under the Rights Issue on the basis of the number of Shares standing to the credit of their securities accounts with the CDP as at 5.00 p.m. on the Books Closure Date.

Shareholders whose securities accounts with the CDP are credited with Shares and having registered addresses outside Singapore, may provide the CDP, at 4 Shenton Way #02-01 SGX Centre 2, Singapore 068807, with an address in Singapore for the service of notices and documents at least five (5) market days prior to the Books Closure Date.

Duly completed and stamped transfers in respect of Shares not registered in the name of the CDP, together with all relevant documents of title received by the Company’s share registrar, M & C Services Private Limited, 138 Robinson Road #17-00, The Corporate Office, Singapore 068906, up to 5.00 p.m. on the Books Closure Date will, subject to the Articles of Association of the Company, be registered to determine the Entitled Shareholders’ provisional allotments of Rights Shares under the Rights Issue.

For practical reasons and in order to avoid any violation of the securities legislation applicable in countries other than Singapore, the Rights Shares will that, subject to the approval of Shareholders for the Rights Issue at the EGM to be held on 19 January 2009, the Register of Members and the Share Transfer Books of the Company will be closed at 5.00 p.m. on 23 January 2009 (the "Books Closure Date") for the purposes of determining the provisional allotments of Rights Shares to Entitled Shareholders.NOT be offered to Foreign Shareholders, being Shareholders with registered addresses outside Singapore as at the Books Closure Date and who have not, at least five (5) market days prior to the Books Closure Date, provided the CDP with addresses in Singapore for the service of notices and documents. Provisional allotments to Right Shares which would otherwise have been provisionally allotted to Foreign Shareholders, if practicable, may, at the discretion of the Company, be sold "nil-paid" on the SGX-ST as soon as practicable after dealings in the provisional allotments of Rights Shares commence and the net proceeds arising therefrom to be dealt with in accordance with the terms set out in the Offer Information Statement.
