Catalist-listed Kori Holdings Limited announced that it has entered into a convertible bond subscription agreement with Keong Hong Holdings Limited, which is also listed on the Catalist board. Keong Hong has agreed to subscribe for a convertible bond with a principal amount of S$5.0 million at an interest rate of 5 per cent per annum. The bond is due to mature in 2016. The bond may be converted into ordinary shares in the capital of Kori at a price of S$0.42 per conversion share, which represents a discount of 9.77 per cent to the volume-weighted average price of S$0.4655 for trades done on the SGX from August 16 to 19. The number of conversion shares that can be issued on conversion of the bond is 11,904,000 and will be admitted to listing on Catalist. ?Keong Hong Holdings Limited is in a business akin to ours and we view that there will be potential synergies between the two companies in the future. With the proceeds from the issuance of the convertible bond, we will be able to acquire companies of a similar trade as part of our expansion plan,? said Mr Hooi Yu Koh, CEO and Managing Director of Kori.
