The Board of Directors of TT International Limited (the " Company" ) refers to its announcement made 

on 5 April 2012 regarding the execution of the Investment Framework Agreement (the " 5 April 

Announcement" ), as well as the related announcements made on 4 May 2012, 17 May 2012 and 28 

May 2012 and the press release dated 30 June 2012 announced through SGXNet contemporaneously 

with this announcement. Capitalised terms used in this announcement have the same meaning as set 

out in the 5 April Announcement, unless otherwise defined herein.

As stated in the 5 April Announcement, completion of the Investment Framework Agreement is 

conditional upon the satisfaction or waiver by 30 June 2012 (the " Long-Stop Date" ) of the Conditions 

Precedent set out in the Investment Framework Agreement. 

As certain Conditions Precedent set out in the Investment Framework Agreement have not been 

fulfilled by the Long-Stop Date, and Parties were not able to find a mutually acceptable solution as to 

how the Conditions Precedent can be fulfilled, the   Investment Framework Agreement has been 

automatically terminated.  

The Company will continue to explore opportunities   with other interested parties to complete the 

development of the Property and realise its investment therein, and will continue to keep all its 

stakeholders updated on any material developments on a timely basis. In the meantime, the Board of 

Directors of the Company advises the investing public to trade in the Company’s shares with the 

requisite caution.
