Nidec Corp. will lower its tender offer target for Brilliant Manufacturing to 53.01% from 90%, the world's top maker of precision motors said on Friday. Nidec had said in November it would spend about US$126 million to buy more than 90% of Brilliant to bolster its hard drive motor business. But on Friday, the Kyoto-based company said it would lower the target to 53.01%, a stake Brilliant's founding family had agreed to sell, after only 85.79% of the shares were tendered as of Jan. 25. This was after Nidec had already extended the tender period by two weeks, saying year-end and new year holidays meant some investors has been unaware of the offer. Singapore's takeover laws allow Nidec to carry on the offer until Feb. 8, it said. Nidec plans to buy all shares tendered. The company is paying $0.418 per share, a 4.5% premium to the last traded price before the takeover announcement. It is not changing the offer price, spokesman Norio Tamura said. Nidec has said the purchase of Brilliant would enable it to secure a steady supply of base plates for hard drives and stabilise procurement costs. |

Thanks to singaporegal & rogue_trader for your posting on TA perspective. As the volumes are very thin, TA may not appropriate now. Can anyone highlight 1) from FA perspective, 2) what will happen if I do not accept the offer. I bought 10 lots back in end 1999 to 2000 1Q at average price of 57.5c. |

Just to share from TA perspective- Volumes are very thin except for the period 10th Nov - 08 Dec 2006 Sharp price changes will be occuring soon A/D Lines is flat while Chaikin is uptrending RSI "stagnating" at around 69.271 (near overbought territory) while Williams %R showing oversold positions at -100 If the Voluntary Conditional Cash Offer won't have any "impact" on the TA charts, then I think this counter might be probably heading south as there are convergence spotted. But pls take note that the volumes is also an issue oso. |

The Voluntary Conditional Cash Offer by Nihon ....for Brilliant share at 41.8c will be closed on 11 Jan. Anyone has any idea whether this a fair offer ? If one did not take up the offer, what will be the scenarios ? |

Below is the report from Kim Eng. Brilliant Manufacturing ? The group reported a FY net loss of SGD9.4mil as revenue fell 25.1% to SGD129mil. The decline was mainly due to the sharp fall in sales orders from a 'major hard disk drive customer', which analysts reckoned to be Maxtor. A SGD11.9mil goodwill write-down for its 'top cover' business also contributed to the net loss. Looking ahead, Brilliant aims to invest up to SGD30mil, this will be funded through internal resources and bank borrowings, in plant and machinery over the next 12 months to meet the expected increase in orders from new customers. ? Nidec Corp will buy all the stock of Brilliant for 14.6 bln yen through a tender offer, Nidec said. Nidec said in a written statement issued in Tokyo that the tender offer would begin in the middle of next month, and that it would also buy subscription rights to 150,000 new shares in Brilliant. Nidec said it expected the acquisition to strengthen its own hard-disk-drive motor business. The stock exchange has been told that Daiwa Securities SMBC Singapore Ltd will make a voluntary conditional cash offer on Nidec's behalf to acquire all Brilliant shares for $0.418 each. Nidec intends to make Brilliant a wholly-owned subsidiary and delist it from the stock exchange. |

Credit Suisse says Nidec Corp of Japan is likely the prospective buyer of Brilliant Manufacturing. "We believe the [investor] could be motor maker Nidec." Nidec buys HDD base plates from Brilliant's competitors, MMI and Beyonics, attaches its motors and ships the sub-assemblies to Seagate, the brokerage said. Nidex wants to increase its internal production of base plates, Credit Suisse said. "If Nidex is the buyer, it is negative for MMI and Beyonics as Nidec will likely favor in-house production," it said. |

It said a potential investor has requested that it be able to undertake due diligence on Brilliant with a view to making an offer for the company. In a disclosure to the Singapore Exchange, it said that its board has consented to the request following mutual confidentiality undertakings between Brilliant and the potential investor. "The board would like to caution that the third party (investor) has expressly stated in the mutual confidentiality undertakings that its request for and conduct of the due diligence ought not to be regarded as a firm intention to make an offer and that there is no assurance that any offer or transaction will materialize," it said. Brilliant said it is making the announcement in connection with the recent rise in the volume and price of its shares. The company requested a trading halt from 9.35 am today to make the announcement. It will resume trading tomorrow. |
