It said it is being sued by a former director and chief executive, Kwok Kah Kie, over its planned acquisition of 53.5% of Industrial Engineering Systems Pte Ltd for $3.75m. Kwok wants the courts to stop the company and its directors from going ahead with the acquisition, from incorporating Central Role Enterprise Ltd and from placing out 24m new shares, Integra2000 said. The case will be heard next Wednesday, it said. The company said it was taking legal advice. |

Proposed to acquire 53.5% stake in Industrial Engineering Systems (IES) from Ipco for $3.75m cash. If the net profit for 1 Sep 06 to 31 Aug 08 is < $2m (Profit Warranty), Ipco shall make good to Integra any difference between the Profit Warranty and the net profit. |
