Can only give opinion. If buyout by Myanmar Economic Holding (MEH) takes place, Thaibev will be out of the beer manufacturing business in Myanmar. It can still sell its Chang beer but the real profits would be in the manufacturing. Myanmar Brewery has a dominant position in the Myanmar beer market. So for Thaibev, to lose Myanmar Brewery will be a loss. Of course, Thaibev can try set up its own manufacturing plant but it will be tough to compete against existing brands   of Myanmar Brewery. The near-term price targets given by the various analysts ( ranging from 0.71 to 0.80 ) factors in Thaibev's 55% ownership of Myanmar Breweries and its potential going forward . UOB KayHian has   a long-term target of $1.05. Certainly   prices will have to be adjusted downwards if Thaibev loses Myanmar Brewery. So nett nett, not good for Thaibev to lose its 55% of Myanmar Brewery. |

Myanmar military want to control brewery. It is a crony club.Their distributors are ex-generals or proxies of current generals. Now that Thaibev will take over, generals are sweating as rice-bowls affected. A lot of smoke and mirrors.Convenient to cry default of terms of agreement and manoeuvre a take-over.

F& N spat with Myanmar partner turning ugly
MEHL starts arbitration process, saying it has clear right to buy over F& N's 55% stake
The Myanmar military-linked investment firm, which holds 45 per cent of Myanmar Brewery, has commenced arbitration proceedings to claim F& N's 55 per cent stake in the brewery, the company said in a statement yesterday. |

Thaibev owns about 28% of F& N. F& N will distribute in specie 2 FCL shares for every 1 F& N share held. TCC owns about 68% of F& N. Now there is talk that Thaibev and TCC will do following swap : (a) Thaibev 'gives' its FCL entitlement to TCC (b) In turn, TCC 'gives' its F& N shares to Thaibev.  Will some kind soul explain : (1) How Thaibev's share price will be impacted when the holdings of Thaibev and TCC are swapped . If so, what is the expectation of   Thaibev price when the swap takes place (2) Is there money to be made going into F& N shares at this juncture .   Look forward to pearls of wisdom being shared.  |

CIMB has a results preview for its 3Q results due 14 Nov. House expect Thai Bev to report a stronger 2H, thanks to an uptick in spirits sales volume. The non-alcoholic beverage business is unlikely to turn a profit yet but the quantum of loss depends on the intensity of both Oishi?s and Serm Suk?s promotional activities. There are no changes to its FY13-15 estimates and SOP-based target price. CIMB maintain its Outperform call, with the catalyst of further corporate restructuring. Specifically, Thai Bev?s plan to sell its 28.6% FCL stake, possibly to TCC, and for TCC to communicate its plans over their 61.7% stake in F& N.
