CLARIFICATION ANNOUNCEMENT IN RELATION TO THE BUSINESS TIMES ARTICLE TITLED “INTERNATIONAL HEALTHWAY CORP SET FOR JULY 8 LISTING” DATED 2 JULY 2013 Reference is made to the article titled “International Healthway Corp set for July 8 listing” published in the Business Times on 2 July 2013 (the “Article”). In the Article, it was stated that “Not only will HMC retain a 10.62 per cent interest in IHC post-listing, but HMC shareholders received shares amounting to 3.38 per cent of HMC shares through a dividend in specie distribution.” The Board of Directors of Healthway Medical Corporation Limited (the “Company” or “HMC” and together with its subsidiaries, the “Group”) wishes to clarify that HMC’s shareholding interest in International Healthway Corporation Limited (“IHC”) upon completion of the placement of IHC shares undertaken in conjunction with the proposed listing of IHC (“Placement”) and after the distributions in specie of up to 189,948,004 IHC shares to the shareholders of HMC (“Distributions”) will be approximately 7.95%. The Board wishes to further clarify that the Distributions involve up to approximately 11.84% of the enlarged issued and paid-up share capital of IHC after the Placement and the Distributions. From a valuation point of view, despite the fact that price has tumbled since IPO, the company does not look attractive. With a PSR of 2.0, even if the company manages to return to a 10% profit margin, it will be a PER of 20 which is just slightly lower than the well-run Raffles Medical Group which has a much better track record and balance sheet. | ||||
