x 0   x 0  Alert Admin	yes now i see why it's end 2015. thanks. by then mdr could have the cash and not have to issue shares to pay for the acquisition already, since they are issuing shares only in the event of insufficient cash according to the announcement.

x 0   x 0  Alert Admin	I believe payment at end of 2015 because for  the 3rd phase Quanli have to ensure min profitability of 15million RMB for 2013-2015. This will ensure they make money and not sell and run off. x 0   x 0  Alert Admin	Short term - think it will exert some pressure on the share price (becoz fund aquisition) Mid-long term - think it is going to benefit the share price (becoz both companies making profit which will add to their FY and in particular will be venturing into myanmar with their diversify business.) Correct if I'm wrong

x 0   x 0  Alert Admin	Extracted from the announcement:   Upon satisfaction of all the conditions precedent under the Third Stage, the balance payment of the Consideration (“Last Instalment”) shall be paid in the following manner:-(1) an amount in cash equivalent to the appraised value of the assets and businesses transferred under the Onshore Transfer Agreements (“Last Instalment Cash Amount”) and (2) the remaining amount (being the Consideration less the First   Instalment, Second Instalment and the Last Instalment Cash Amount), if any, shall be satisfied by way of the Company issuing ordinary shares in its paid-up capital (“Consideration Shares”) to either Quanli SZ or Quanli HK. The issue price of the Consideration Shares shall be S$0.016, being the volume-weighted average price of the Company’s shares for trades done on the Singapore Exchange Securities Trading Limited (“SGX”) for the full market day immediately prior to the execution of the Framework Agreement. The 6 Consideration Shares shall be issued pursuant to the general share issue mandate of the Company. this sounds like they are using their current cash first, and only if necessary issue shares at $0.016 to pay up the rest of the acquisition. am i right? will this continue to exert downward pressure on mdr's share price. it's currently at 0.016-0.017 already.
