SAMCORP CAPITAL CORPORATION REDUCES SHAREHOLDING IN AUSSINO Samcorp Capital Corporation (“Samcorp”), which is the company wholly owned by the Founder and Chairman, Mr Anthony Lim, of Aussino Group Limited (“Aussino”), announced today that it has sold 32,400,000 Aussino shares in the open market. Samcorp is the company used by Mr Anthony Lim to hold all the shares in Aussino. On 25 July 2012, Aussino Group Ltd (“Aussino” and together with its subsidiaries, the “Group”) announced the proposed acquisition of the entire issued share capital of Max Strategic Investments Pte Ltd (“Max Strategic”). This will present the Group with a new operating energy business with significant growth potential in Myanmar. Under the Sale & Purchase Agreement on the acquisition of Max Strategic, Mr Lim will buy back the Aussino Group of business. The agreed amount for the takeover of the entire Aussino Group of business is S$9.4 million. The sale of Aussino shares in the open market by Mr Lim is to raise the money to enable him to buy back the Aussino Group of business. x 0   x 0  Alert Admin	I just called my broker, she said after the 1:4 consolidation, offer will be at 32cents. Thats means if we buy now, theoretically it will be more worthwhile to buy at 8 cents. But is has risen a lot leow... anybody got suggestion if we should buy aussino and let the shares convert into max strat or wait until consolidation is complete and buy?

x 0   x 0  Alert Admin	that time i was foolish enough to buy at 15.9 cents - 10 lots. i realised something was not right.... so i sold 5 lots at 15.3 cents and another 5 lots at 13.9 cents.. on hindsight, shouldn't have entered into Aussino in the first place...

Part of which says :- The Transaction Aussino has entered into a conditional sale and purchase agreement (the " Injection Agreement" ) with the shareholder of Max Strategic (the " Vendor" ) to acquire Max Strategic for a consideration of S$70 million. The acquisition consideration will be satisfied by the issue of 218,750,000 new consolidated shares (the " Consideration Shares" ) (which, for the avoidance of doubt, will be issued after the completion of the proposed share consolidation of every 4 existing shares into 1 consolidated share) to the Vendor at an issue price of S$0.32 (the " Issue Price" ) per Consideration Share. Nett effect suggest that the valuation without consolidation is 0.08 cents. That's a discount from Friday's close.
