Lian Beng eyes spin-off Taiwan listing




 

Construction company Lian Beng Group is proposing to spin off its engineering and concrete business for a primary listing on the Taiwan Stock Exchange (TWSE).

In a press release, Lian Beng executive chairman Ong Pang Aik said that both units have grown to a sizeable scale for a separate listing. He added that the funds raised by the proposed spin-off will help the expansion of the group's engineering and concrete business.

Lian Beng has already won pre-clearance from SGX for this proposed spin-off. It will also be convening an extraordinary general meeting at a later date to seek approval from its shareholders.The company said it will announce any material updates when appropriate.

In the long term , it is a good news as the right issue is for expansion of bussiness rather than bad dept. So this is definitely positive in addition to the recent excellent profit announcement. Do vest and good luck.

Company is proposing to undertake a renounceable rights issue (" Rights Issue" ) of 3,836,699,386 new ordinary shares in the capital of the Company (" Rights Shares" ) at an issue price of S$0.091 (" Issue Price" ) for each Rights Share, on the basis of one (1) Rights Shares for every one (1) existing ordinary share in the capital of the Company (" Shares" ) held by shareholders of the Company.

 

Attractive Value Proposition for Shareholders

The Rights Issue is structured to give all Shareholders an opportunity to subscribe for the Rights Shares on a pro-rata basis. The Rights Shares are priced attractively at an Issue Price of S$0.091 that represents a discount of approximately:

(a) 61.3% to the closing price of S$0.235 per Share on the SGX-ST as of 25 October 2011, being the last trading day of the Shares on the SGX-ST before the Announcement and

(b)
